1. Introduction These Terms & Conditions ("Terms") govern your use of the CoderLife IT website (coderlifeit.com) and any services, quotations, or software development engagements provided by CoderLife IT ("we", "us", "our"), located at 9th Floor, Gulzarbagh, Keraniganj, Dhaka-1310, Bangladesh. By accessing this website or engaging our services, you agree to be bound by these Terms. 2. Services CoderLife IT provides custom software development services, including but not limited to hospital & diagnostic management software, point-of-sale (POS) systems, e-learning platforms, ecommerce websites, and appointment-booking applications. The specific scope, deliverables, timeline, and cost of any engagement are agreed separately in a written quotation, proposal, or contract between CoderLife IT and the client. Nothing on this website constitutes a binding offer for a specific project until a separate agreement is signed by both parties. 3. Quotations, Invoicing & Payment Project pricing is provided on a per-engagement basis via a formal quotation or invoice. Unless otherwise agreed in writing, invoices are payable in Bangladeshi Taka (BDT) within the timeframe stated on the invoice. Late payments may result in a pause of ongoing work or delivery. Payment terms, milestones, and any advance/deposit requirements for a specific project are set out in that project's agreement or invoice. 4. Intellectual Property Unless otherwise agreed in writing, ownership of custom software developed for a client transfers to the client upon full payment of all invoices related to that project. CoderLife IT retains the right to reuse general-purpose components, frameworks, and non-client-specific code across other projects. All content on this website (text, graphics, logos, and design) is the property of CoderLife IT and may not be reproduced without permission. 5. Client Responsibilities Clients are responsible for providing timely feedback, content, credentials, and access necessary for project delivery. Delays caused by the client (including delayed feedback, content, or payment) may extend agreed timelines accordingly. 6. Warranty & Support Post-delivery support and bug-fix terms (if any) are specified in the individual project agreement. Unless otherwise stated, ongoing maintenance, hosting, and feature additions beyond the agreed scope are billed separately. 7. Limitation of Liability To the maximum extent permitted by law, CoderLife IT shall not be liable for any indirect, incidental, or consequential damages arising from the use of software we develop or from this website, including but not limited to loss of data, revenue, or business opportunity, except where such liability cannot be excluded by law. 8. Third-Party Links Our website and delivered software may contain links to third-party websites or services (e.g. payment gateways, hosting providers). We are not responsible for the content, policies, or practices of any third-party service. 9. Changes to These Terms We may update these Terms from time to time.
